  rNetwork Options for Restricted Stock Units (RSU) (consisting of stock options to purchase shares) for achieving the rank of Power10 as a Charter Member Consultant in rNetwork, pursuant to the exemption available Section 701 of the Securities Act of 1933.   Definitions and clarifications:

  When/If you buy the shares-this is called “exercising” your option. You may exercise within a two-year period, or earlier, (the company has 30 days to grant you the shares after receiving your exercise request and full RSU exercise payment as outlined above)
  Once you exercise your RSU option, you will have free trading, common stock ownership in R Net Holdings.
  You can hold the stock. You can also choose to sell a portion or all once you have exercised your stock option.
  R Net Holdings and rNetwork do NOT provide tax advice. Seek a registered tax advisor for any tax implications and strategies regarding exercising and liquidating your RSU Stock Options and/or exercised stock of R Net Holdings.
  The Options and RSU are fully described in the R Net Holdings 2020 Stock Option and Award Plan and the Notice of Award and the Restricted Stock Units Agreement, and any discussion herein is specifically limited to the terms contained therein.

  Act quick or miss out:
  There is a 750,000 stock option cap allocated for Power10 ranked Charter Members. This is a significant ownership position in R Net Holdings and is being offered to the rNetwork community because we believe that our engaged Charter Members deserve ownership in this community.

  Refresh of the requirements: You must meet the following criteria to receive your shares options in R NET Holdings.

  Power10 Rank Qualifications:
  You must achieve the Power10 rank on or before midnight September 30th, 2020 MST.
  You must have 10 personally enrolled, active Charter Members, and
  You must be active in rNetwork

  Additional stock option qualifications:
  You must have no more than 2 Charter Members in your PEN that utilize your credit card information for their subscription in rNetwork, and
  You must hold the Power10 rank for 11 of the 12 months following your initial Power10 qualification, and
  You must continue to be a Charter Member through the time of the exercise of the options for the RSU.
  Should you fall out of qualification you can requalify and start your qualification requirements again.
  No individual may qualify directly or indirectly for more than 1,000 shares of stock in this promotion.
